Legal Costs Agreement (ILA Australia)
Terms and Conditions of Engagement
1. ILA Australia is a trading name of Queensland Legal Pty Ltd (ABN 38 619 112 917) (“ILA Australia”) and is offering to provide you with legal advice and associated legal services.
2. The scope of our services to review any loan documentation, guarantee documentation, and associated documents for a financial loan you are guaranteeing (in relation to a single loan/property transaction), and if requested, provide any legal advice certificate that may be required to evidence such.
3. We offer to complete this legal service for a Fixed Fee, and you accept that offer and engage ILA Australia on these terms.
4. For the legal services provided, you will be charged the Fixed Fee on the provision of the legal advice required, and without regard to your decision to provide a guarantee or not.
5. ILA Australia will render a tax invoice to you for the legal services, once performed. You consent to receipt of such by email. All tax invoices are payable within 7 days of delivery of the invoice and interest may accrue on overdue amounts at the rate prescribed by the Legal Profession Act 2007 (Qld).
6. If you have provided a valid payment authorisation, then such will be processed towards that invoice.
7. You may terminate our engagement and withdraw your instructions at any time for any reason by giving written notice to ILA Australia, and you acknowledge that:
a. we may inform or confirm to the lender that we have not provided you with legal advice; and
b. fees may still be payable and apply to your booking, as per these terms and conditions.
8. ILA Australia may terminate this engagement for any just cause by providing reasonable notice to you, in writing.
9. If this engagement is terminated, ILA Australia are entitled to the payment of all reasonable legal fees, expenses and disbursements (including GST) up to and until the date the termination notice is provided, which may comprise:
a. $99 (Inc GST) - Booking Fee for processing of your initial booking.
b. $66 (Inc GST) - VOI Fee for processing each persons VOI process.
c. $275 (Inc GST) - Review Fee for reviewing your loan documentation prior to providing legal advice.
d. $Fixed Fee – Legal Advice provided but no legal advice certificate requested.
10. Unless already returned to you, ILA Australia will keep your documents, relating to the legal work performed for you, for seven (7) years after this Agreement has ended or has been terminated, in electronic form. After this time, you authorise to destroy them without contacting you again.
11. You authorise ILA Australia to communicate with you by email. This may include (but is not limited to); sensitive, confidential, or personal information regarding the matter; documents relevant to the matter as attachments; and our legal bills/invoices.
12. You consent to us making contact with all necessary parties in relation to the services to be provided to you in order to issue our legal advice certificates, or similar, or otherwise confirm the extent, or otherwise, of our engagement.
13. You consent to, and accept, service of ILA Australia's tax invoices to be effected upon you electronically, regardless if the legal bill is also sent by post, pursuant to section 330(7) of the Legal Profession Act 2007 (Qld).
